Then cross Summit Street to the accessible entrance at the front of the Park Plaza building, facing 47th Street. The United Way offices are located on the fifth floor of the Park Plaza building.

Articles of Incorporation

Summary of Proposed Changes to United Way of Greater Kansas City, Inc.'s Amended and Restated Articles of Incorporation

The Board of Trustees ("Board") of United Way of Greater Kansas City, Inc. ("United Way") has approved amendments to and a restatement of its Amended and Restated Articles of Incorporation ("Articles of Incorporation"). A copy of the Second Amended and Restated Articles of Incorporation, which reflects the proposed amendments, can be found by clicking below. The proposed additionas to the Article of Incorporation are shown in blue and are underlined and the proposed deletions to the Articles of Incorporation are shown in red and are crossed out.

The Board is recommending that the United Way's Articles of Incorporation be amended to convert the United Way from an organization with voting members to an organization with a self-perpetuating Board, to reflect the United Way's current registered agent and office, and to make other changes as are consistent with its status as a charitable organization described in Section 501(c)(3) of the Internal Revenue Code of 1986, as amended (the "Code"). Below is a summary of the proposed amendments to the United Way's current Articles of Incorporation:

  • To amend Article III to state that United Way shall not have members.
  • To amend Article IV to define the Code and add "trustee" to paragraph three.
  • To amend Article VII to reflect United Way's current registered agent and office.
  • To amend Article IX to refer to the "board of directors" instead of the "members".
  • To add a requirement to Article XI that United Way's assets upon dissolution must be distributed to another Code Section 501(c)(3) tax-exempt organization, as required by the Code.

The Board of Trustees ("Board") of United Way of Greater Kansas City, Inc. ("United Way") has approved amendments to and a restatement of its Bylaws ("the Bylaws"). A copy of the proposed Amended and Restated Bylaws, which reflects the proposed amendments, can be found by clicking below. The proposed additions to the Bylaws are shown in blue and are underlined and the proposed deletions to the Bylaws are shown in red and are crossed out.

The Board is recommending that the United Way's Bylaws be amended to convert the United Way from an organization with voting members to an organization with a self-perpetuating Board and to reflect the United Way's current practices. Below is a summary of the proposed amendments to the United Way's current Bylaws:

  • To amend Article I to remove the references to members.
  • To amend Article IV to state that the United Way shall not have members.
  • To remove Article V regarding Meetings of Members.
  • To amend Article VI to remove the references to members, to reflect that the Trustees will be elected at the annual meeting of the Board, and to provide for the removal of Trustees by the Board.
  • To amend Articles VII, VIII, IX, X and XIII to remove the references to the members and the annual meeting of members.
  • To amend Article XVI to provide that the Bylaws may be amended and new bylaws may be adopted by the Trustees.
